Op de avond van 11 augustus heeft de SEC een aankondiging gedaan: aanstaande vrijdag (14 augustus) om 10 uur 's ochtends zal de commissie een openbare vergadering houden met slechts één agendapunt: stemmen over het formeel voorstellen van een "aangepast uitgiftesysteem" voor investeringscontracten in crypto-activa (Regulation Crypto).
Dit is de eerste formele crypto-regelgeving sinds Paul Atkins voorzitter van de SEC is, en er zijn slechts drie werkdagen tussen de aankondiging en de vergadering.
Alle drie de commissarissen zijn Republikeinen, en het wordt verwacht dat deze stap wordt goedgekeurd. Maar het moet duidelijk zijn: de stemming op vrijdag gaat over "het uitbrengen van een voorstel en het vragen om publieke feedback", niet over de definitieve regels. Na publicatie van het voorstel is er meestal een publieke consultatieperiode van 60 tot 90 dagen, waarna de SEC op basis van feedback aanpassingen maakt. De definitieve inwerkingtreding zal waarschijnlijk pas in 2027 zijn.
Voor de markt is het signaal belangrijker dan de tijdlijn.
Waar blijft de CLARITY Act?
De achtergrond is de wetgevende impasse in het Congres.
De CLARITY Act (Wet op de Duidelijkheid van de Digitale Activamarkt) is momenteel de dichtstbijzijnde crypto-marktstructuurwetgeving die in de VS wet kan worden. Het Huis van Afgevaardigden stemde in juli 2025 met 294 tegen 134 voor, en de Senaatscommissie voor Bankzaken keurde het in mei van dit jaar goed met 15 tegen 9. Het leek voorspoedig te gaan, maar bij de stemming in de voltallige Senaat stokte het.
Senaatsmeerderheidsleider Thune was van plan om voor het reces in augustus een stemming te forceren. Op 6 augustus zei hij tegen journalisten dat de Democraten weigerden te stemmen. Op 8 augustus om 4:52 uur diende Thune aan het einde van een nachtelijke zitting een procedurele motie in om de stemming uit te stellen tot 15 september om 14:15 uur, de eerste dag dat senatoren na hun vakantie terugkeren.
De reden voor de blokkade is concreet. Drie controversiële punten zijn nooit opgelost: details over anti-witwas- en handhavingsbepalingen, regulering van stablecoin-opbrengsten, en ethische regels voor overheidsfunctionarissen die crypto-activa bezitten. Elizabeth Warren vertegenwoordigt de oppositie van de Democraten en zei dat deze versie van de wet "geschreven is door de crypto-industrie, voor de crypto-industrie".
Er zijn 60 stemmen nodig voor goedkeuring. De Republikeinen hebben 53 zetels, dus minstens 7 Democraten moeten partij oversteken. TD Cowen-analist Jaret Seiberg gaf in een rapport van 10 augustus een faalkans van 75%. De kans dat de CLARITY Act dit jaar wordt ondertekend daalde op Polymarket van 82% in februari naar 21%, met meer dan 5,5 miljoen dollar ingezet op dit resultaat.
SEC vult de leegte op
De acties van de SEC volgen direct op het vastlopen van de CLARITY Act. De SEC wacht niet op het Congres, maar schrijft zelf regels. TD Cowen kwalificeert deze vergadering als "het begin van een reeks regelgevingsinitiatieven van de SEC om regulatoire duidelijkheid te bieden na het vastlopen in de Senaat".
Het kader van Regulation Crypto komt uit Atkins' openbare toespraak in maart. Hij stelde toen drie soorten vrijstellingen voor:
Start-up vrijstelling: staat vroege crypto-projecten toe om onder bepaalde voorwaarden beperkte financiering te verkrijgen zonder volledige registratieplicht als effect. Het referentienummer dat Atkins in maart noemde was maximaal 75 miljoen dollar binnen 12 maanden.
Financieringsvrijstelling: biedt een vereenvoudigde route voor grotere fondsenwerving, waarbij de informatieverstrekking meer lijkt op een crypto whitepaper dan op het volledige S-1 prospectus van een beursgenoteerd bedrijf.
Veilig haven voor investeringscontracten: dit is het belangrijkste onderdeel en kan tokens een "uitweg uit effectenregelgeving" bieden: wanneer het ontwikkelingsteam van een project niet langer het netwerk actief beheert, kan de token mogelijk niet langer als investeringscontract worden beschouwd en valt het buiten de jurisdictie van de SEC.
Als de veilig haven-bepaling in de formele regels wordt opgenomen, zal dit de compliance-logica van crypto-projecten fundamenteel veranderen. Het kernprobleem was altijd: zodra een token als effect wordt beschouwd, blijft het dat voor altijd, en moet het project onbeperkt voldoen aan effectenwetten. De veilig haven-logica is dat de effectstatus kan vervagen naarmate het project meer gedecentraliseerd wordt.
Twee sporen
In Washington lopen nu twee parallelle sporen voor crypto-regulering.
De CLARITY Act volgt het wetgevende spoor. Het voordeel is de hoogste autoriteit (wet boven administratieve regels), de breedste dekking (verdeelt jurisdictie tussen SEC en CFTC), en de grootste duurzaamheid. Maar het vereist 60 stemmen, partijoverschrijdende steun, het oplossen van drie controversiële punten, en zelfs na de procedurele stemming op 15 september volgen nog debatten, amendementen en definitieve stemming. De kans om het hele proces dit jaar te doorlopen is zeer klein.
Regulation Crypto volgt het administratieve regelgevingsspoor. Het vereist geen stemming in het Congres, drie Republikeinse commissarissen zijn voldoende om het te pushen. Eenmaal formeel goedgekeurd, is het moeilijker voor een volgende SEC om het zomaar terug te draaien, omdat het intrekken van formele regels hetzelfde notificatie-consultatie-stemproces vereist. Het nadeel is dat het alleen de jurisdictie van de SEC bestrijkt, niet die van de CFTC, en het kan juridische uitdagingen krijgen.
De reactie van voormalig SEC-functionaris Brett Redfearn op X weerspiegelt de sentimenten in de sector: "We hoeven niet meer te wachten op de CLARITY Act van het Congres! Het is tijd dat de toezichthouders zelf aan de slag gaan."
De twee sporen sluiten elkaar niet uit. Als de CLARITY Act uiteindelijk wordt aangenomen, vervangt die Regulation Crypto; als de CLARITY Act faalt in het Congres, is Regulation Crypto het beste wat de sector kan krijgen. De SEC gebruikt haar administratieve macht als vangnet voor het Congres.
Voor de crypto-industrie verandert er op korte termijn niets aan de compliance-verplichtingen. De stemming op vrijdag is slechts het begin van het regelgevingsproces, van voorstel tot definitieve inwerkingtreding duurt het minstens zes maanden.
Maar het signaaleffect is direct. Het grootste onzekere punt voor de crypto-industrie in de VS het afgelopen jaar was "wanneer komen de regels precies?" Met zowel het Congres als de SEC die vooruitgang boeken, ook al in verschillend tempo, betekent dit ten minste dat Washington is overgegaan van de discussie "of er crypto-regulering moet komen" naar de praktische fase van "hoe reguleren we?"

Washington is regulating crypto on two clocks.
CLARITY cleared the Senate Banking Committee 15-9 in May, but its first Senate floor test was pushed to September. The expected cloture vote on the motion to proceed typically requires 60 votes. If it advances, debate, amendments and a final Senate vote would follow. Senate changes could send it back to the House.
Outstanding discussions include ethics provisions, stablecoin rewards, DeFi and developer protections, and investor safeguards.
Meanwhile, the SEC will hold an open meeting Aug 14 to consider whether to propose Regulation Crypto Assets, a tailored offering regime for certain investment contracts involving crypto assets.
The key word is "propose." Any release would still go through public comment and another Commission vote before becoming final.
SEC Chair Paul Atkins previously floated three possible components with illustrative thresholds:
· A startup exemption potentially lasting up to four years, with up to $5M in fundraising
· A broader exemption potentially allowing up to $75M over 12 months, with tailored disclosures
· A safe harbor clarifying when a crypto asset is no longer tied to an investment contract
The actual proposal may differ.
The SEC item is also narrower than full market-structure reform. It focuses on token offerings and fundraising under existing securities law, not comprehensive rules for exchanges, custody, spot-market oversight or durable SEC-CFTC boundaries.
It builds on the SEC interpretation joined by the CFTC in March, which introduced a crypto-asset taxonomy and addressed when a non-security crypto asset may become subject to, or cease to be subject to, an investment contract. That interpretation also covered airdrops, protocol mining, protocol staking and the wrapping of non-security crypto assets.
The U.S. path may now develop in layers: interpretation first, SEC offering rules next, legislation later. Can that sequence provide enough certainty, or does durable market structure still have to come from Congress?
